Announcement of the Completion of the Approved Merger between

The Mercantile Insurance Co., Inc. and FPG Insurance Co., Inc.

We are pleased to announce that the merger between Mercantile Insurance and FPG Insurance has been successfully completed after receiving all necessary regulatory approvals from the Insurance Commission, the Philippine Competition Commission, and the Securities and Exchange Commission. The merged entity now operates under the name FPG Mercantile Insurance Co., Inc.

FPG Mercantile brings together over 130 years of combined industry experience, a workforce of more than 700 employees, and an expanded nationwide network of 24 branches. By uniting the strengths and expertise of both organizations, the merger positions us to deliver greater value to our policyholders and partners. It strengthens our ability to provide more consistent service, broader capabilities, and enhanced support—while upholding the trust, reliability, and shared commitment to transforming the insurance industry and becoming the leading non-life insurance company in the Philippines.

Our business operations will continue as usual. All existing insurance policies, contracts, and agreements remain valid and enforceable, with no changes to existing coverage, benefits, or premiums as a result of the merger.

Current service arrangements will continue during the transition period. Should there be any adjustments or enhancements to service processes, we will communicate these directly as part of our continued efforts to provide a seamless experience and deliver the best possible service to our clients and partners.
